Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, AI-enabled features, and related services offered by BERRYAITOOLS SOLUTIONS LLC ("BerryAiTools," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.
1. Eligibility and Accounts
You must be legally capable of entering into a binding agreement and meet any minimum age requirements that apply where you live. You are responsible for providing accurate account information, protecting your credentials, and all activity that occurs under your account.
2. The Services
BerryAiTools may provide access to AI-assisted writing, research, image, media, document, productivity, and related features. Features may rely on third-party model providers, hosting providers, APIs, or other services. We may add, remove, change, limit, or discontinue features as the Services evolve.
3. Acceptable Use
You may not use the Services to violate law, infringe intellectual property or privacy rights, distribute malware, gain unauthorized access to systems, misrepresent generated content in a deceptive or unlawful manner, facilitate fraud, harass others, or interfere with the Services. You also may not attempt to reverse engineer, bypass access controls, defeat usage limits, or resell access except where expressly authorized in writing.
4. AI-Generated Content
AI systems can produce inaccurate, incomplete, offensive, or otherwise unsuitable outputs. You are responsible for reviewing outputs before relying on, publishing, distributing, or using them. The Services are not a substitute for professional legal, medical, financial, accounting, or other regulated advice.
5. Your Content
You retain any rights you have in content you submit to the Services. You grant us a limited license to host, transmit, reproduce, process, and otherwise use submitted content as reasonably necessary to operate, secure, and provide the Services. You represent that you have all rights and permissions necessary to submit that content.
6. Intellectual Property
The Services, including our software, design, branding, logos, text, and other materials we provide, are owned by or licensed to BERRYAITOOLS SOLUTIONS LLC and are protected by applicable intellectual property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.
7. Subscriptions, Fees, and Billing
If you purchase a paid plan, you agree to pay the displayed fees, taxes, and other charges associated with the plan. Recurring subscriptions may renew automatically until canceled, if disclosed during checkout. Pricing, included usage, limits, and plan features may change prospectively. Payment processing may be provided by third parties.
8. Cancellation and Refunds
Cancellation rights and refund eligibility should be described at checkout or in the applicable plan terms. Unless otherwise required by law or expressly stated by us, fees already paid may be non-refundable. After cancellation, access may continue through the end of the paid billing period, depending on the plan configuration.
9. Usage Limits and Credits
Certain features may be subject to usage limits, credits, rate limits, fair-use restrictions, or model availability. Usage units may have different consumption rates. Any expiration, rollover, or refund rules for credits should be shown in the applicable plan details.
10. Third-Party Services
The Services may use or link to third-party products and services. We do not control those third parties and are not responsible for their independent terms, privacy practices, availability, or performance. Third-party service changes may affect BerryAiTools features.
11. Suspension and Termination
We may suspend or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to pay applicable fees, or misused the Services. You may stop using the Services at any time and may cancel a paid subscription according to the applicable billing process.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES OR AI OUTPUTS WILL BE ACCURATE, ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR A PARTICULAR USE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERRYAITOOLS SOLUTIONS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO THE SERVICES. WHERE LIABILITY CANNOT BE EXCLUDED, OUR AGGREGATE LIABILITY WILL BE LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100, UNLESS APPLICABLE LAW REQUIRES OTHERWISE.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless BERRYAITOOLS SOLUTIONS LLC and its affiliates from claims, losses, liabilities, damages, and expenses arising from your content, your misuse of the Services, or your violation of these Terms or applicable law.
15. Governing Law
Unless applicable law requires otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any venue, arbitration, class-action waiver, or dispute-resolution clause should be finalized with legal counsel based on your preferred structure and operating jurisdictions.
16. Changes to the Terms
We may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of the Services after an update becomes effective means you accept the revised Terms where permitted by law.
